These Terms of Use ("Terms") constitute a legally binding agreement between you (individually or on behalf of your organization, "User" or "you") and New Vision Security LLC ("Company," "we," "us," or "our"), a Service-Disabled Veteran-Owned Small Business registered in the United States, governing your access to and use of the SignalGround RF Spectrum Intelligence Platform and related services (collectively, the "Service").
If you are accessing the Service through the Microsoft Azure Marketplace, the Microsoft Commercial Marketplace Terms of Use also apply to your subscription. In the event of a conflict, these Terms govern the specific use and conduct within the SignalGround Service.
SignalGround is an RF Spectrum Intelligence Platform that aggregates, processes, and presents data from the Federal Communications Commission (FCC) and other public sources to generate location-specific wireless environment reports. The Service is intended for use by licensed professionals, engineers, federal agencies, and enterprise organizations for lawful spectrum planning, infrastructure assessment, and related purposes.
The Service processes FCC public record data. SignalGround reports are based on licensed spectrum records and do not detect or analyze unlicensed, classified, or real-time transmissions.
To access the full features of the Service, you must create an account or subscribe through the Microsoft Azure Marketplace. You agree to:

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your organization's internal business purposes, including:

SignalGround reports are informational tools to support engineering analysis and planning. They should not be the sole basis for regulatory compliance determinations, spectrum coordination decisions, or final engineering sign-off without independent verification. Users are responsible for consulting with qualified RF engineers and legal counsel for final compliance determinations.
The Company makes no warranty regarding the accuracy, completeness, or currency of FCC data incorporated into the Service. The FCC's official ULS and ASR databases are the authoritative sources for all licensed spectrum data.
The Service, including its software, algorithms, user interface, documentation, and the SignalGround brand, is owned by New Vision Security LLC and protected by United States and international intellectual property laws. You do not acquire any ownership rights by using the Service.
Reports generated by the Service based on your queries may be used by you for your internal business purposes. The underlying platform, scoring models, and analytical methods remain proprietary to New Vision Security LLC.
FCC public record data incorporated into reports is in the public domain. Our processing, scoring, and presentation of that data is protected intellectual property.
Subscription fees are set forth at signalground.net/pricing or as specified in your Azure Marketplace subscription. Fees are billed in advance on a monthly or annual basis as selected. All fees are non-refundable except as required by law or as expressly stated in your subscription agreement.
For Azure Marketplace subscriptions, billing is administered by Microsoft. You agree to Microsoft's billing terms for Marketplace transactions. For direct subscriptions, payment terms are as stated in your order documentation.
We reserve the right to change pricing with 30 days' prior notice to active subscribers.
Each party agrees to keep confidential any non-public, proprietary, or trade secret information disclosed by the other party in connection with the Service. The Company will maintain confidentiality of your query data and generated reports. You agree to maintain confidentiality of any non-public technical documentation or access credentials provided to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEW VISION SECURITY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless New Vision Security LLC and its officers, directors, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service in violation of these Terms, your violation of any law or third-party right, or your query inputs or use of report outputs.
These Terms are governed by the laws of the United States and the State of Florida, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.
We reserve the right to update these Terms at any time. We will notify active subscribers of material changes by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
We may suspend or terminate your access to the Service immediately, with or without notice, for violations of these Terms, non-payment of fees, or if required by law. Upon termination, your right to use the Service ceases. Sections 7, 10, 11, 12, and 13 survive termination.
If you are a United States government agency or accessing the Service on behalf of the U.S. government, the Service is provided as a "commercial item" as defined in FAR 2.101. Government users acquire only the rights specified in these Terms. Contact us for information on available federal procurement vehicles.
