"Service" or "Platform" means the SignalGround RF Spectrum Intelligence Platform, including web applications, APIs, data products, and documentation operated by New Vision Security LLC ("Company"). "User" or "You" means any individual or entity accessing the Service. "Subscription" means a paid or evaluation entitlement procured through Azure Marketplace, direct purchase, or government contract vehicle. "RF Data" means radio frequency intelligence, license records, tower data, microwave path data, and derived analytics produced by the Service. "Government User" means any U.S. federal, state, local, tribal, or territorial agency.
By clicking "Authorize," accessing the Service, or executing any order form referencing these Terms, You agree to be legally bound. If accessing on behalf of an organization, You represent authority to bind that organization. These Terms are effective on first access and apply to all subsequent use.
You must be (a) 18 years of age or older, (b) legally capable of forming binding contracts, (c) not prohibited under U.S. export control, sanctions, or trade restrictions, and (d) accessing the Service for lawful purposes. The Company may verify eligibility at any time.
Subject to these Terms and Your active Subscription, the Company grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access the Service for Your internal business purposes. No rights are granted beyond those expressly stated. All rights not granted are reserved.
You may use the Service to (a) query FCC ULS, ASR, and other federal datasets, (b) generate internal RF analyses, reports, and visualizations, (c) export results within Your organization, (d) inform wireless planning, compliance, and engineering decisions, and (e) use training modules in accordance with their stated purpose. All use must comply with applicable federal, state, and local law.
You may not (a) resell, sublicense, or redistribute raw RF Data outside Your organization; (b) reverse engineer, decompile, or attempt to derive source code; (c) use the Service to develop a competing product; (d) circumvent authentication, scan limits, or audit logging; (e) scrape or extract data at rates exceeding Subscription limits; (f) misrepresent identity, organization, or authorization; or (g) violate any provision of §7.
You may not use the Service, its RF Data, outputs, or any derived intelligence to plan, coordinate, facilitate, support, enable, or execute any form of intentional RF interference, signal jamming, or deliberate disruption of any wireless transmission, in violation of 47 U.S.C. § 333, 18 U.S.C. § 1362, or any applicable federal, state, local, tribal, territorial, or international law.
You may not use the Service to identify, locate, or characterize specific transmitters, licensees, base stations, public safety systems, or other RF-emitting facilities for the purpose of disruption, interference, harassment, or any unlawful activity directed at those targets.
You may not use the Service to design, build, market, import, sell, or deploy any device the principal purpose of which is to cause RF interference, in violation of 47 U.S.C. § 302a, 47 C.F.R. Part 2, or FCC equipment authorization rules.
You may not use the Service to facilitate interference with (a) public safety communications including 911, law enforcement radio, fire and EMS dispatch, FirstNet Band 14, P25, or TETRA; (b) aviation communications, navigation systems, GPS, or air traffic control; or (c) critical infrastructure communications including SCADA, hospital networks, water and power utility control systems, and transportation control systems.
You may not use the Service in connection with counter-UAS jamming or RF-based drone defeat operations unless You are a Government User expressly authorized under 49 U.S.C. § 44810, 6 U.S.C. § 124n, or equivalent statutory authority, and the operation is conducted strictly within the scope of such authorization. Commercial, private, and research users have no lawful authority for such operations.
Authorization codes are non-transferable and unique to Your organization and Subscription tier. You may not share, reassign, publish, or use authorization codes outside the issued organization. Every authorization event is logged with organization name, individual user, IP address, and timestamp. Compromised codes must be reported to security@signalground.app within 24 hours.
Every scan, query, and report generated by the Service carries a unique, non-transferable serial number cryptographically linked to Your identity, organization, session, source IP address, and query parameters. Logs are retained for the duration of Your Subscription plus five (5) years. Logs may be produced in response to lawful legal process or as required by federal contracting obligations.
The Company targets 99.5% monthly uptime for the Service excluding scheduled maintenance windows and force majeure events. Service credits, if any, are governed by Your applicable order form or marketplace plan. The Service may be temporarily unavailable for planned maintenance, security patches, infrastructure changes, or events outside the Company's reasonable control.
Fees are governed by Your applicable Subscription tier through Azure Marketplace, direct order form, or government contract vehicle. Marketplace subscriptions are billed by Microsoft and governed by the Microsoft Customer Agreement in addition to these Terms. Direct billing is invoiced monthly or annually as agreed; payment is due net 30 unless otherwise stated. Past-due accounts may be suspended without notice.
Use of the Service is governed by the SignalGround Privacy Policy, incorporated by reference. The Service processes (a) account profile data You provide, (b) query parameters and results, (c) audit log data described in §9, and (d) usage telemetry. Personal data is processed in accordance with applicable law including CCPA/CPRA where applicable. You are responsible for any personal data You upload or query.
Each party shall protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and in no case less than reasonable care. Confidential Information excludes information that is publicly available, independently developed without reference, or rightfully received from a third party without restriction. Audit log data is Confidential Information of the Company.
If You provide suggestions, feedback, bug reports, or recommendations regarding the Service, You grant the Company a perpetual, worldwide, royalty-free, sublicensable license to use such Feedback for any purpose without obligation or attribution.
The Service is "commercial computer software" and "commercial computer software documentation" as defined in 48 C.F.R. § 12.212 and 48 C.F.R. § 227.7202. U.S. Government use, duplication, or disclosure is subject to FAR 52.227-14 and DFARS 252.227-7014. No additional rights are granted beyond those provided to commercial customers except as expressly negotiated in a separate signed agreement.
The Service integrates with third-party services including Microsoft Azure infrastructure, Azure Maps, Azure OpenAI, and FCC public data sources. Third-party services are governed by their own terms. The Company is not responsible for third-party service availability, accuracy, or security except as expressly stated in these Terms.
The Service incorporates public information from U.S. Government sources, including the Federal Communications Commission (FCC), the Federal Aviation Administration (FAA), the U.S. Census Bureau, the U.S. Securities and Exchange Commission (SEC EDGAR), and USAspending.gov. Such source data is in the public domain; the Company's collection, processing, scoring, and presentation of that data are proprietary and are not endorsed by, and do not imply any affiliation with or sponsorship by, those agencies.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. RF DATA IS DERIVED FROM PUBLIC FEDERAL DATASETS AND IS INFORMATIONAL ONLY — NOT PROFESSIONAL ENGINEERING ADVICE, LEGAL OPINION, OR FCC COMPLIANCE DETERMINATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You shall defend, indemnify, and hold harmless the Company and its officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Your use of the Service, (b) Your violation of these Terms, particularly §7, (c) Your violation of any law or third-party right, and (d) any content or data You submit to the Service.
These Terms remain in effect for the duration of Your Subscription. The Company may suspend or terminate access immediately without notice for (a) any violation of §7, (b) non-payment, (c) breach of §8 (Authorization Codes), or (d) activity threatening Service integrity or other users. Provisions that by their nature should survive termination (including §§9, 12, 13, 17, 18, 19, 22, and 23) shall survive.
Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, power or communications failures, cyber attacks, or pandemics. The affected party shall use commercially reasonable efforts to resume performance.
The parties shall attempt in good faith to resolve any dispute through informal negotiation for thirty (30) days before initiating formal proceedings. Disputes not resolved informally shall be submitted to binding arbitration administered by JAMS under its Streamlined Arbitration Rules in Atlanta, Fulton County, Georgia. Government Users are exempt from arbitration to the extent inconsistent with the FAR, the Contract Disputes Act, or sovereign immunity. Either party may seek injunctive relief in a court of competent jurisdiction.
These Terms constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous agreements except a separate signed order form or government contract vehicle, which controls in case of conflict. No waiver of any provision shall be effective unless in writing. If any provision is held unenforceable, the remaining provisions remain in full force. You may not assign these Terms without the Company's written consent; the Company may assign in connection with a merger, acquisition, or sale of assets.
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles, except to the extent federal law (including the FAR for Government Users) preempts. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
